These Event Terms & Conditions (the "Terms") govern NEPA B2B Connect (the "Show"), a business-to-business trade show organised by NEPA Wholesale ("NEPA"). They apply to every person and entity present at or participating in the Show, including attendees, buyers, exhibitors, exhibitor staff, guests, media, and contractors (each a "Participant"). 

By registering for, entering, exhibiting at, or otherwise participating in the Show, each Participant accepts these Terms in full. 

1. DOCUMENT STRUCTURE & ORDER OF PRECEDENCE 

The Show is governed by four documents, which are intended to be read together: 

• Event Terms & Conditions (this document) — general terms applying to everyone. 
• Attendee Rules & Conditions of Entry — admission, credentials, and conduct for attendees and guests. 
• Exhibitor Terms & Conditions — booking, booth operation, and commercial terms for exhibitors. 
• Trade Show Giveaway: Official Rules (the "Official Giveaway Rules") — the giveaway, including the Tesla Model Y, gift card, and iPhone drawings. 

Where a conflict arises, the following order of precedence applies: 

• For any matter concerning the prize promotion, entries, eligibility to win, drawings, or prizes — the Official Giveaways Rules control. 
• For any matter concerning exhibitor booking, booth operation, or exhibitor commercial obligations — the Exhibitor Terms & Conditions control. 
• For any matter concerning attendee admission, credentials, or conduct — the Attendee Rules control. 
• For all other matters, and for any question not addressed in the documents above, these Terms control. 
• Marketing materials are not terms. Flyers, social media posts, emails, banners, warehouse screens, and other promotional materials are summaries only. Where they differ from the governing documents, the governing documents control, except where applicable law requires a prize to be awarded in the manner and at the time stated in advertising. 

 

2. THE SHOW 

• Date and hours: Saturday, November 7, 2026, 10:00 AM to 6:00 PM Eastern Time. 
• Venue: NEPA 2, 3220 45th Street, West Palm Beach, Florida 33407 — an active wholesale distribution facility. 
• Nature: The Show is a trade-only, business-to-business buying event for retailers, wholesalers, distributors, convenience stores, gas stations, smoke shops, and vape shops. 
• Livestream: The Show is livestreamed to additional NEPA warehouse locations. 
• Admission: Admission is free of charge and by registration. Admission is not a contractual right and may be refused or revoked at NEPA’s discretion without compensation. 

3. AGE RESTRICTION & ELIGIBILITY 

• The Show is a strictly 21+ event. No person under 21 is permitted on the premises at any time except strict parental guidance, including during setup, show hours, and breakdown. 
• Valid government-issued photo ID along with NEPA Member ID is required for entry and may be re-verified at any time. 
• NEPA may require proof of business status, including a business licence, resale certificate, commercial tobacco or vape retail licence where applicable, or an active NEPA Member account. 

4. CONDUCT ON THE PREMISES 

The following apply to every Participant, and are set out in full in the Attendee Rules and Exhibitor Terms: 

• No smoking, vaping, aerosol use, consumption, ignition, or combustion of any product anywhere on the premises, except for demonstration or testing. 
• No substance unlawful under federal law, no weapons, and no animals other than lawful service animals. 
• No harassment, discrimination, intimidation, or threatening conduct of any kind. 
• No counterfeit, gray-market, or intellectual-property-infringing goods. 
• No unauthorised solicitation, suitcasing, or distribution of product or materials outside a contracted booth. 
• All persons and belongings are subject to search as a condition of entry. NEPA may remove any person or item at its sole discretion, without compensation. 
• All Participants must comply with all applicable law, all venue rules, and all directives of NEPA staff, security, and venue personnel. 

5. PRODUCT LEGALITY & BUYER RESPONSIBILITY 

• NEPA makes no representation or warranty as to the legality, regulatory status, registration, or compliance of any product displayed, sampled, offered, or sold at the Show in any state, county, or locality. 
• Buyers are solely responsible for verifying the legality of every product they source, purchase, transport, or resell in every jurisdiction in which they operate. This includes nicotine and vapour products, hemp-derived cannabinoids, kratom and kratom-derived products, and any other regulated or restricted goods. 
• Exhibitors warrant the compliance of their own products as set out in the Exhibitor Terms & Conditions. 

6. ORDERS & TRANSACTIONS 

• All customer orders at the Show are placed and processed through NEPA only. Exhibitors may not take direct orders, accept payment, transact in cash, or sell product directly to attendees on the show floor. 
• Show deals and exhibitor offers are valid exclusively at the NEPA 2 location and are subject to the terms, quantities, and dates published by NEPA. 

7. GIVEAWAY PROMOTION 

• The giveaway is operated solely by NEPA as Sponsor. It is governed by the Official Giveaway Rules, which are published separately and control on all promotion matters. 
• No purchase is necessary to enter. A free method of entry is available to registered attendees at the front desk, limit one per person. 
• Participants must be 21 or older to enter or win. Winners of prizes valued at $600 or more must complete an IRS Form W-9 before the prize is released. 
• Exhibitors, exhibitor staff, NEPA employees, and their immediate family and household members are not eligible to enter or win. 
• No Participant other than NEPA may run a raffle, drawing, contest, sweepstakes, or giveaway at the Show without NEPA’s prior written approval. 
• All prizes will be awarded under the business name entered, not the individual’s name. The participating business is solely responsible for all applicable taxes, fees, and related costs. 

8. PHOTOGRAPHY, RECORDING, LIVESTREAM & PUBLICITY 

• The Show will be photographed, recorded, and livestreamed, and the resulting material may be used across NEPA’s marketing channels including email, social media, the NEPA website, warehouse screens, and printed marketing. 
• By entering the premises, each Participant consents to being photographed, filmed, recorded, and livestreamed, grants NEPA an unrestricted, royalty-free, perpetual right to use that material for any commercial or promotional purpose, and waives any right to inspect or approve it or to receive compensation. 
• Prize winners additionally consent to the use of their name, business name, likeness, and prize information in announcements and marketing, except where prohibited by law. 
• Commercial photography, videography, or recording of exhibitor booths, products, pricing, or other Participants is prohibited without the express consent of the parties involved. 
• Press and media must hold approved credentials. No interviews, filming, or reporting on the show floor without prior written approval from NEPA. 

9. DATA & PRIVACY 

• Registration, badge, and entry data, including attendee contact information, is the property of NEPA and is not released to exhibitors. 
• Exhibitors may not scan, photograph, copy, or otherwise capture attendee badges or contact details, and may not add attendees to their own marketing lists on the basis of Show attendance. 
• NEPA processes personal information in accordance with its privacy policy. By registering, Participants consent to NEPA contacting them about the Show, its offers, and its products. 
• Tax identification information collected from prize winners is used solely for tax reporting and is retained in accordance with applicable law. 

10. INTELLECTUAL PROPERTY 

• The NEPA name, the NEPA Wholesale logo, and the NEPA B2B Connect branding are the property of NEPA and may not be used without prior written approval. 
• Each Participant warrants that it owns or is licensed to use all trademarks, artwork, and other intellectual property it displays or distributes at the Show, and indemnifies NEPA against any claim to the contrary. 

11. HEALTH, SAFETY & THE VENUE 

• NEPA 2 is an active wholesale distribution facility. Participants must remain in designated Show areas, obey posted signage and floor markings, and stay clear of equipment, racking, and material handling operations. 
• Warehouse operations areas, docks, offices, and any area marked as restricted are off limits. 
• In an emergency, Participants must follow staff instruction and posted evacuation routes. 
• Parking is in designated areas only and at the vehicle owner’s risk. NEPA is not responsible for lost, stolen, or damaged personal property. 

12. ASSUMPTION OF RISK, RELEASE & INDEMNITY 

Each Participant attends and participates at their own risk and expressly assumes all risk arising from or connected to any activity or circumstance at the Show, including theft, loss of or damage to property, injury to or death of any person, and loss of income or future income, whether caused by negligent, intentional, or accidental acts, acts of God, or otherwise. 

Each Participant releases NEPA Wholesale, its parent, affiliates, and subsidiaries, together with their respective owners, officers, directors, employees, agents, contractors, sponsors, insurers, and assigns, and the owner and operator of the venue (collectively, the "Released Parties"), from all claims, demands, causes of action, suits, liens, losses, debts, and damages of any kind, including subrogation claims, arising from or relating to the Show. 

Each Participant agrees to indemnify, defend, and hold harmless the Released Parties against any and all claims, demands, suits, causes of action, arbitration proceedings, liens, regulatory actions, fines, and penalties arising from that Participant’s products, marketing, staff, or conduct at the Show. 

13. LIMITATION OF LIABILITY 

To the maximum extent permitted by law, the total aggregate liability of the Released Parties to any Participant arising from or relating to the Show is limited to the amount that Participant actually paid to NEPA in connection with the Show, and is zero where no such amount was paid. The Released Parties are not liable for lost profits, lost sales, lost opportunity, or any indirect, incidental, special, or consequential loss. 

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. 

14. CANCELLATION, POSTPONEMENT & FORCE MAJEURE 

NEPA may cancel, postpone, reschedule, relocate, or modify the Show in whole or in part, for any reason, including force majeure events beyond its reasonable control. NEPA is not liable for travel, lodging, freight, production, staffing, or any other cost incurred by any Participant. Any refund in these circumstances is at NEPA’s sole discretion and subject to the Exhibitor Terms & Conditions. 

15. VIOLATIONS 

NEPA may remove any Participant who violates these Terms, any governing document, venue rules, or applicable law, and may exclude that Participant from future NEPA events. No refund of any fee, deposit, or charge will be issued in that event. Illegal conduct may be referred to law enforcement. 

16. GENERAL 

• Amendments. NEPA may amend these Terms at any time and without prior notice. The current version published by NEPA governs. The Official Giveaway Rules may not be amended after the promotion has commenced except as permitted by applicable law. 
• Entire agreement. These Terms and the governing documents listed in section 1 constitute the entire agreement relating to the Show and supersede any prior discussion or representation. 
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force. 
• Waiver. A failure to enforce any provision is not a waiver of it. 
• Assignment. A Participant may not assign or transfer its rights or obligations without NEPA’s prior written consent. 
• Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. 
• Notices. Notices to NEPA should be sent to support@nepawholesale.com. 

17. GOVERNING LAW & VENUE 

These Terms, and any dispute arising from or relating to the Show, are governed by the laws of the State of Florida without regard to conflict of laws principles. Any action or proceeding shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida. 

 

 

TRADE SHOW GIVEAWAY: OFFICIAL RULES & TERMS 

1. Sponsor and Eligibility 

• This giveaway is hosted by NEPA management ("Sponsor") during the trade show event. 
• Open strictly to verified business partners, wholesale clients, and registered trade show attendees who are 21 years of age or older with a valid commercial tobacco/vape retail license where applicable. 

2. How to Qualify and Enter 

To participate in the random drawings and be eligible for the prizes, participants must meet the following criteria: 

• Method of Entry: No purchase is necessary to enter. All event attendees may receive one (1) free entry by registering into NEPA Wholesale at the front desk. Limit one free entry per person/company. 

3. Prize Structure & Specific Models 

Prizes to be awarded during the live event include: 

• Grand Prize: One (1) Tesla Model Y (New vehicle, exact color/trim specified by Sponsor). 
• Major Prizes: Twenty Thousand Dollars ($20,000.00 total) distributed across multiple bi-hourly $5,000 Gift Cards (Note: Gift cards are applicable for the one-time non-sharable POS purchase valid from November 9th until December 31st, 2026 exclusively of "HQD", "FUME" “SMOGGER”, “COOKIES”, “FIRE”, “REALWOODS”, “FREAKIN BLACK” brand products). 
• Hourly Prizes: Ten (10) Apple iPhone 18 Pro Max units (at least one awarded each hour). 

5. Event Schedule & Drawing Workflow 

• Grand Prize; One (1) Tesla Model Y (New vehicle, exact color/trim specified by Sponsor): The prize will be transferred within 7 business days of winner announcement. 
• Major Prizes; 4 x $5,000 Gift Cards: The gift cards will be distributed on the same day the winners are announced. Gift cards are applicable for the one-time non-sharable POS purchase valid from November 9th until December 31st, 2026 exclusively for "HQD", "FUME" “SMOGGER”, “COOKIES”, “FIRE”, “REALWOODS”, “FREAKIN BLACK” brand products. 
• Hourly Prizes; Ten (10) Apple iPhone 18 Pro Max units (at least one awarded each hour): The iPhones will be transferred the same day the winners are announced. 

5. Event Schedule & Drawing Workflow 

• Winner Limitations: To ensure fairness, participants are limited to winning one prize per company/person during the event. Past winners are automatically removed from subsequent draws for iPhones, the $5,000 Gift Cards and the Grand Prize Tesla Model Y. 

 

6. Taxes, Fees, and Legal Disclosures 

• Federal Tax Coverage: Sponsor will not cover the mandatory 24% federal tax withholding for major prizes as outlined by IRS regulations. 
• Winner Tax Reporting: All prizes will be awarded under the business name entered, not the individual’s name. The participating business is solely responsible for all applicable taxes, fees, and related costs. Winners of prizes valued at $600 or more (including iPhones, Gift Cards, and the Tesla) must complete an IRS Form W-9 with their legal Taxpayer Identification Number or SSN prior to receiving the prize. A Form 1099-MISC will be issued at year-end reflecting the total prize value and covered tax elements. 
• Vehicle Registration & Fees: Title transfer and delivery of the Tesla Model Y will be coordinated with the winner. Winner is responsible for local operating insurance. Because the event takes place in Florida, no state personal income tax applies. 
• Compliance: This giveaway complies with state game promotion requirements. Sponsor reserves the right to audit invoices for brand compliance, modify, suspend, or terminate the promotion if fraud or technical failures compromise the integrity of the drawings. 

 

 

 

ATTENDEE RULES & CONDITIONS OF ENTRY 

By registering for, entering, or attending NEPA B2B Connect (the "Show"), you agree to the rules below. These rules apply to all attendees, buyers, guests, and any person on the premises during the Show. NEPA Wholesale ("NEPA") may amend these rules at any time without prior notice. 

1. ADMISSION & ELIGIBILITY 

• The Show is a strictly 21+ trade event. However, infants and children are permitted under strict adult supervision. 
• Valid NEPA Member Card for the business is required for entry and may be re-verified at any point during the Show. Attendees can complete registration at the venue and enter the trade event. Valid Business Document and Valid Driving License is required for registration. 
• The Show is open to business attendees only, retailers, wholesalers, distributors, c-store, gas station, smoke shop, and vape shop operators, and their authorized staff. NEPA may require proof of business status, such as a business license, resale certificate, or active NEPA account. 
• Admission is free of charge but requires NEPA Member Card. 
• NEPA reserves the right to refuse entry to, or remove, any person or any item at its sole discretion. 
• All persons and their belongings are subject to search as a condition of entry. 

2. NEPA Member Card 

• Each account can have only one member card. Do not share, transfer, change, or copy your card. Doing so will result in permanent cancellation of your membership with no refund or reinstatement. 
• Attendees may access only the designated show floor and public areas. Warehouse operations areas, docks, offices, and any area marked as restricted are strictly off limits. 

3. PROHIBITED CONDUCT & ITEMS 

The following are prohibited anywhere on the premises: 

• Smoking, vaping, or aerosol/vapor use of any kind, for any reason, excluding product testing. 
• Consumption, ignition, or combustion of any product, excluding any product displayed or sampled at the Show. 
• Any substance unlawful under federal law. 
• Weapons of any kind, consistent with venue and property policy. 
• Animals, except lawful service animals as defined by applicable law. 
• Harassment, discrimination, intimidation, or threatening conduct of any kind toward attendees, exhibitors, NEPA staff, or venue staff. 
• Any illegal act, which will result in immediate removal and may result in law enforcement involvement. 
• Unauthorized solicitation, "backpack" or suitcase selling, distribution of flyers or product, and any sale or promotion by a person who is not a registered exhibitor. 
• Counterfeit, gray-market, or intellectual-property-infringing goods. 

4. PRODUCT SAMPLING 

• Sampling is permitted only at authorized exhibitor booths, only where lawful, and only in the manner approved by NEPA. 
• No product may be consumed, used, opened for use, or combusted on the premises. Samples are for take-away evaluation only. 
• Nicotine, tobacco, hemp-derived, kratom, and similar age-restricted samples may be distributed only to badged attendees who have satisfied age verification. 
• Attendees may not solicit samples in bulk or for resale. 

5. ORDERING, PURCHASING & PRODUCT LEGALITY 

• All orders are placed and processed through NEPA only. Direct sales, cash transactions, or order-taking between attendees and exhibitors on the show floor are not permitted. 
• Show deals and exhibitor offers are valid exclusively at the NEPA 2 location and are subject to the terms, quantities, and dates published by NEPA. 
• Attendees are solely responsible for verifying the legality of every product they source, purchase, transport, or resell in every jurisdiction in which they operate. This includes but is not limited to nicotine and vapor products, hemp-derived cannabinoids, kratom and kratom-derived products, and any other regulated or restricted goods. 
• NEPA makes no representation or warranty as to the legality, regulatory status, registration, or compliance of any product displayed, sampled, or sold at the Show in any state, county, or locality. Compliance with all federal, state, and local law rests entirely with the buyer. 

6. PHOTOGRAPHY, RECORDING & LIVESTREAM 

• The Show will be photographed, recorded, and livestreamed to additional NEPA warehouse locations and may be used across NEPA’s marketing channels. 
• By entering, you consent to being photographed, filmed, recorded, and livestreamed, and you grant NEPA an unrestricted right to use that footage for any commercial or promotional purpose. You waive any right to inspect or approve the material and any right to royalties or other compensation. 
• Commercial photography, videography, or recording of exhibitor booths, products, pricing, or other attendees is prohibited without the express consent of the parties involved. 
• Press and media must hold approved credentials. No interviews, filming, or reporting on the show floor without prior written approval from NEPA. 

7. GIVEAWAYS & PRIZES 

• Prize drawings, including the Tesla Model Y, iPhones, and NEPA gift cards giveaways, are open to registered attendees only. You must be physically present at the time of the drawing to win. 
• Winners must be 21 or older and must present valid government-issued photo ID matching their registration. 
• All prizes will be awarded under the business name entered, not the individual’s name. 
• Prizes are awarded as-is, are non-transferable, and carry no cash alternative. All taxes, title, registration, insurance, delivery, and any other cost associated with a prize are the sole responsibility of the winner. 
• Gift card giveaways are limited to the core brands and value stated in the official giveaway rules. 
• Exhibitors, attendees, and third parties may not run independent raffles, drawings, contests, or giveaways at the Show without NEPA’s prior written approval. 
• Full official giveaway rules, eligibility restrictions, and odds are published separately and control in the event of any conflict with summary materials. 

8. ATTENDEE INFORMATION & PRIVACY 

• Registration and badge scan data, including attendee contact information, remains the property of NEPA and is not released to exhibitors. 
• By registering, you consent to NEPA contacting you about the Show, its offers, and its products, consistent with NEPA’s privacy policy. 

9. VENUE, SAFETY & COMPLIANCE 

• NEPA 2 is an active wholesale distribution facility. Attendees must remain in designated Show areas, obey all posted signage and floor markings, and stay clear of equipment, racking, and material handling operations. NEPA 2 is not responsible for any injury sustained while in the event. 
• Attendees must comply with all directives of NEPA staff, security, and venue personnel always. 
• Parking is available in designated areas only. Vehicles are parked at the owner’s risk. 
• In an emergency, follow staff instruction and posted evacuation routes. 
• NEPA is not responsible for lost, stolen, or damaged personal property. 

 

 

EXHIBITOR TERMS & CONDITIONS 

These Exhibitor Terms & Conditions (the "Terms") govern participation as an exhibitor at NEPA B2B Connect (the "Show"), organised by NEPA Wholesale ("NEPA"). By submitting a booth booking, making payment, or exhibiting at the Show, the exhibiting company ("Exhibitor") accepts these Terms in full. 

These Terms sit beneath the NEPA B2B Connect Event Terms & Conditions and alongside the Attendee Rules and the Trade Show Giveaway: Official Rules (the "Official Giveaway Rules"). Where a conflict arises, these Terms control on exhibitor matters and the Official Giveaway Rules control on all prize promotion matters. 

1. KEY DEADLINES

October 5, 2026	Exclusive show deal finalised and submitted to NEPA.
Nov 7, 2026	Qualifying purchase window for the NEPA prize promotion.
October 20, 2026	TV Screen Ad Package assets due (if purchased).
November 7, 2026	Show day. Setup 7:00 AM. Show 10:00 AM – 6:00 PM. Breakdown 6:00 – 8:00 PM.

Failure to meet any deadline above may result in forfeiture of the booth, of promotional inclusion, or of the relevant benefit, without refund. 

2. BOOKING, PAYMENT & CANCELLATION 

• Booth booking and payment in full are due by September 30, 2026. A booking is confirmed only once full payment is received. 
• All booth purchases are final and non-refundable, in whole or in part, regardless of the reason for cancellation, non-attendance, or late arrival. 
• Booths are booked online from the live floor plan. Booth numbers are assigned on a first-come, first-served basis and availability updates in real time. 
• An Exhibitor that fails to occupy its booth by the start of show hours is deemed a no-show. NEPA may reassign or repurpose the space without refund. 
• Booth space may not be sublet, shared, transferred, assigned, or used to promote any company or brand other than the contracted Exhibitor without NEPA’s prior written approval. 

3. BOOTH SPACE & ASSIGNMENT 

• Each booth is a 7 ft x 7 ft space. All tiers receive identical exhibitor benefits; tier pricing reflects location and placement only. 
• Exhibitors may reserve multiple adjacent booths to create a larger footprint. Combined pricing is the sum of the individual booth prices, subject to availability. 
• NEPA reserves the right to modify the floor plan and to relocate or reassign booth space where reasonably necessary for the operation, safety, or layout of the Show. 
• Each booth includes: one table, two chairs, two exhibitor passes, Wi-Fi access, food and beverages, parking, product sampling rights, NEPA marketing exposure, and on-site support. 
• Anything not listed above — including additional furniture, signage, power beyond standard supply, audio-visual equipment, lighting, and labour — is the Exhibitor’s responsibility and expense. 

4. EXHIBITOR PASSES 

• Two exhibitor passes are issued per booth. No additional passes will be issued. 
• All booth staff must be 21 or older and must present valid government-issued photo ID. 
• Passes are non-transferable. Sharing, transferring, or duplicating a pass will result in revocation without replacement or refund. 
• Badges must be worn and visible at all times on the premises. 
• An exhibitor pass is not an attendee registration and does not confer eligibility to enter or win in the NEPA giveaway. See section 15. 

5. SETUP, SHOW HOURS & BREAKDOWN 

• Setup begins at 7:00 AM on November 7, 2026. Booths must be fully set and staffed before doors open at 10:00 AM. 
• Booths must remain staffed and open for the full duration of show hours, 10:00 AM to 6:00 PM. Early teardown or unattended booths during show hours are not permitted. 
• Booths must remain fully staffed and presentable through the Grand Prize drawing, which takes place at approximately 6:00. No packing, dismantling, or removal of product or display may begin before 6:00 PM. 
• Breakdown runs from 6:00 PM to 8:00 PM. Exhibitors must remove all product, displays, signage, packaging, and waste and leave the space in its original condition. 
• Any property left on the premises after 8:00 PM may be removed and disposed of at the Exhibitor’s cost, and NEPA accepts no liability for it. 
• Any damage to the venue, its fixtures, flooring, or equipment caused by the Exhibitor or its staff is the Exhibitor’s responsibility. 

6. SHIPPING, DELIVERY & STORAGE OF EXHIBITION MATERIALS 

• No advance shipping. NEPA will not receive, store, or sign for Exhibitor freight, product, or materials before the Show. 
• Exhibitors are responsible for transporting, loading in, handling, and removing their own materials. 
• No storage space is provided. Product and materials must be kept within the booth footprint. 

7. BOOTH CONDUCT & PRESENTATION 

• All displays, product, signage, staff, and activity must remain within the assigned booth footprint. Aisles, entrances, exits, neighbouring booths, and fire equipment must not be obstructed. 
• Displays must not block sightlines to adjacent booths or exceed any height limit set by NEPA. 
• Sound, music, and amplification must be kept at a level that does not interfere with neighbouring exhibitors. NEPA may require volume to be reduced at its discretion. 
• No soliciting, canvassing, or distribution of materials outside the assigned booth, and no "suitcasing" or selling by unregistered parties. 
• Booth staff must conduct themselves professionally. Harassment, discrimination, intimidation, or threatening conduct of any kind will result in immediate removal without refund. 

8. PRODUCT SAMPLING & DEMONSTRATION 

• No smoking, vaping, aerosol use, consumption, ignition, or combustion of any product is permitted anywhere on the premises. 
• Samples may be distributed from the Exhibitor’s booth only, for take-away evaluation only, and only to badged attendees who have satisfied age verification. 
• Sampling of nicotine, tobacco, hemp-derived, kratom, or other age-restricted products must comply with all applicable federal, state, and local law. 
• NEPA may suspend or prohibit any sampling activity at its sole discretion. 

9. PRODUCT COMPLIANCE & LEGALITY 

The Exhibitor represents and warrants, on a continuing basis, that: 

• Every product displayed, sampled, offered, or sold at the Show complies with all applicable federal, state, and local laws and regulations, including as applicable the Federal Food, Drug, and Cosmetic Act, FDA premarket authorisation requirements, the PACT Act, the tobacco directory or registry requirements of any state in which the product is offered, and applicable hemp and cannabinoid law. 
• All product labelling, ingredient disclosure, warnings, certificates of analysis, and age-restriction statements required by law are accurate and in place. 
• The Exhibitor holds all licences, permits, and registrations required to offer its products. 
• NEPA does not review, verify, endorse, or warrant the regulatory status of any Exhibitor product and accepts no responsibility for an Exhibitor’s compliance. NEPA may remove any product or Exhibitor from the Show where it believes, in its sole discretion, that a legal or regulatory risk exists, without refund. 

10. INTELLECTUAL PROPERTY 

• The Exhibitor warrants that it owns or is licensed to use all trademarks, trade dress, artwork, and other intellectual property it displays or distributes at the Show. 
• Counterfeit, replica, gray-market, or infringing goods are strictly prohibited and will result in immediate removal without refund. 
• The Exhibitor indemnifies NEPA against any claim arising from an allegation that its products or materials infringe a third party’s rights. 

 

11. ORDERS & TRANSACTIONS 

• All customer orders at the Show are placed and processed through NEPA only. Exhibitors may not take direct orders, accept payment, transact in cash, or sell product directly to attendees on the show floor. 
• Pricing, order terms, and fulfilment are governed by the Exhibitor’s existing supply arrangement with NEPA. 

12. EXCLUSIVE SHOW DEALS 

• Every Exhibitor is required to provide a special customer offer for the Show, submitted to NEPA by October 5, 2026. 
• Show deals are valid exclusively at the NEPA 2 location. 
• Customers redeem the offer through NEPA at checkout. NEPA tracks all redemptions across the event and applicable sales channels. 
• Within seven (7) days after the Show, NEPA will issue the Exhibitor a redemption report showing the total value of deals redeemed. The Exhibitor will then reimburse NEPA for that total redeemed amount. 
• Reimbursement is due within 7 days of the redemption report. NEPA may offset any unpaid amount against sums otherwise owed to the Exhibitor. 
• Show deals and the NEPA giveaway are separate programmes. 
• An Exhibitor that fails to submit a qualifying offer by the deadline may be excluded from show-deal promotion and marketing without refund. 

13. TV SCREEN AD PACKAGE (ONLY IF APPLICABLE) 

• Price: $500. Includes up to four assets in MP4, MOV, JPG, or PNG format, with a maximum of one minute per video. 
• Assets are due October 20, 2026. Late, missing, or non-conforming assets will not be run and the fee is non-refundable. 
• NEPA reserves the right to reject or require changes to any creative that is non-compliant, off-brand, misleading, or unsuitable for a retail environment. 
• Creative must not reference, depict, or imply the NEPA giveaway, its prizes, or any entry mechanic without NEPA’s prior written approval, as promotion advertising is regulated and must match the filed Official Giveaway Rules. 
• The Exhibitor warrants it holds all rights to the submitted creative, including any music, footage, imagery, and likenesses, and grants NEPA a licence to display it in connection with the Show. 
• NEPA does not guarantee a specific number of plays, screen placements, or impressions. 

14. MARKETING, LIVESTREAM & PUBLICITY 

• The Show will be photographed, recorded, and livestreamed to additional NEPA warehouse locations and may be used across NEPA’s marketing channels. 
• The Exhibitor consents to its booth, staff, products, and displays appearing in that coverage and waives any right to approve, inspect, or receive compensation for its use. 
• The Exhibitor grants NEPA a non-exclusive, royalty-free licence to use its name, logo, and product imagery to promote the Show across email, social media, the NEPA website, warehouse screens, the sales team, and printed marketing. 
• The Exhibitor may not use NEPA’s name, logo, or the Show branding in its own marketing without prior written approval. 

15. NEPA GIVEAWAY 

NEPA operates a customer giveaway in connection with the Show, including a Tesla Model Y grand prize, bi-hourly gift cards, and hourly iPhone prizes. The giveaway is governed by the Official Giveaway Rules, which control on all promotion matters. 

Sponsorship and funding 

• NEPA is the sole Sponsor and operator of the giveaway. It is administered, funded, and awarded solely by NEPA unless separately agreed in writing. 
• The Exhibitor bears no cost for prizes and has no obligation to fund, contribute to, or reimburse any prize, except under a separate written agreement signed by both parties. 

Exhibitor eligibility 

• Exhibitors, their owners, officers, employees, booth staff, and contractors, and the immediate family and household members of each, are not eligible to enter or win any prize in the giveaway. 
• An Exhibitor must not enter, attempt to enter, or arrange for a related party to enter on its behalf, and must not structure a customer invoice for the purpose of generating entries. 

 

Exhibitor conduct in relation to the giveaway 

• Exhibitors may not run independent raffles, drawings, contests, sweepstakes, or giveaways at the Show without NEPA’s prior written approval. 
• Exhibitors may not offer, promise, imply, or advertise entries, additional entries, improved odds, or any other promotion benefit to any attendee. 
• Exhibitors may not interpret, explain, restate, or vary the Official Giveaway Rules for attendees. All giveaway questions must be directed to NEPA staff. 
• Exhibitors may not state or imply that they sponsor, endorse, administer, or are associated with the giveaway. 
• Breach of this section 15 is a material breach and may result in removal from the Show without refund, exclusion from future NEPA events, and liability for any resulting regulatory penalty or claim. 

16. ATTENDEE DATA 

• Attendee registration, badge, and giveaway entry data — including attendee contact information — is the property of NEPA and is not released to Exhibitors. 
• Exhibitors may not scan, photograph, copy, or otherwise capture attendee badges or contact details, and may not add attendees to their own marketing lists on the basis of Show attendance. 
• The free method of entry to the giveaway is administered by NEPA at the front desk only. Exhibitors may not collect, accept, hold, or submit entries of any kind. 

17. INSURANCE 

• Each Exhibitor must carry commercial general liability insurance of not less than $[AMOUNT] per occurrence covering the setup, show, and breakdown periods, together with any product liability and workers’ compensation coverage required by law. 
• NEPA Wholesale and the venue owner must be named as additional insureds. A certificate of insurance must be provided to NEPA by OCT 20, 2026. 
• The Exhibitor is responsible for insuring its own property. NEPA provides no coverage for Exhibitor product, displays, or equipment. 

18. LIABILITY, RELEASE & INDEMNITY 

The Exhibitor exhibits at its own risk and assumes all risk of loss, theft, damage, injury, or death arising from or connected to its participation in the Show, whether caused by negligent, intentional, or accidental acts, acts of God, or otherwise. 

The Exhibitor releases NEPA Wholesale, its parent, affiliates, and subsidiaries, together with their respective owners, officers, directors, employees, agents, contractors, sponsors, insurers, and assigns, and the owner and operator of the venue (collectively, the "Released Parties"), from all claims, demands, causes of action, suits, liens, losses, debts, and damages of any kind arising from or relating to its participation. 

The Exhibitor agrees to indemnify, defend, and hold harmless the Released Parties against any and all claims, demands, suits, causes of action, arbitration proceedings, liens, regulatory actions, fines, and penalties arising from its products, its marketing, its staff, or its conduct at the Show, including any breach of section 15. 

To the maximum extent permitted by law, NEPA’s total liability to the Exhibitor for any claim arising from the Show is limited to the booth fees actually paid by the Exhibitor, and NEPA is not liable for lost profits, lost sales, or any indirect, incidental, or consequential loss. 

19. VENUE, SAFETY & COMPLIANCE 

• NEPA 2 is an active wholesale distribution facility. Exhibitors must remain in designated Show areas, obey posted signage and floor markings, and stay clear of equipment, racking, and material handling operations. 
• Exhibitors and their staff must comply at all times with all applicable law, all venue rules, and all directives of NEPA staff, security, and venue personnel. 
• The Show is a 21+ event. No person under 21 is permitted on the premises at any time except with strict parental guidance, including during setup and breakdown. 
• No weapons, no unlawful federally controlled substances, and no animals other than lawful service animals. 

20. VIOLATIONS & REMOVAL 

An Exhibitor that violates these Terms, the Event Terms & Conditions, the Official Giveaway Rules, the Exhibitor Kit, venue rules, or applicable law may be removed from the Show and may be excluded from future NEPA events. No refund of booth fees, deposits, advertising fees, or any other charge will be issued in that event. 

21. CANCELLATION, POSTPONEMENT & FORCE MAJEURE 

NEPA may cancel, postpone, reschedule, relocate, or modify the Show in whole or in part, for any reason, including force majeure events beyond its reasonable control. NEPA is not liable for travel, lodging, freight, production, staffing, or any other cost incurred by the Exhibitor. Any refund of booth fees in these circumstances is at NEPA’s sole discretion. 

22. GENERAL 

• Amendments. NEPA may amend these Terms at any time. The current version published by NEPA governs. 
• Entire agreement. These Terms, together with the Event Terms & Conditions, the Exhibitor Kit, and the booking confirmation, constitute the entire agreement between the parties and supersede any prior discussion or representation. 
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force. 
• Assignment. The Exhibitor may not assign or transfer this agreement without NEPA’s prior written consent. 
• Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between NEPA and the Exhibitor. 
• Governing law. These Terms, and any dispute arising from or relating to the Show, are governed by the laws of the State of Florida without regard to conflict of laws principles. Any action shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida. 

 

23. ACCEPTANCE OF TERMS OF CONDITIONS 

These Exhibitor Terms & Conditions apply to the Exhibitor’s purchase or booking of exhibition space. By completing the purchase or booking, the Exhibitor confirms its acceptance of and agreement to be bound by these Terms & Conditions, including the prize promotion obligations and eligibility exclusions set out in Section 15.
