NEPA B2B CONNECT TERMS & CONDITIONS

These Event Terms & Conditions (the "Terms") govern NEPA B2B Connect (the "Show"), a business-to-business trade show organised by NEPA Wholesale ("NEPA"). They apply to every person and entity present at or participating in the Show, including attendees, buyers, exhibitors, exhibitor staff, guests, media, and contractors (each a "Participant").

By registering for, entering, exhibiting at, or otherwise participating in the Show, each Participant accepts these Terms in full.

1. DOCUMENT STRUCTURE & ORDER OF PRECEDENCE

The Show is governed by four documents, which are intended to be read together:

Event Terms & Conditions (this document) - general terms applying to everyone.
Attendee Rules & Conditions of Entry - admission, credentials, and conduct for attendees and guests.
Exhibitor Terms & Conditions - booking, booth operation, and commercial terms for exhibitors.
Trade Show Giveaway: Official Rules (the "Official Giveaway Rules") - the giveaway, including the Tesla Model Y, gift card, and iPhone drawings.

Where a conflict arises, the following order of precedence applies:

For any matter concerning the prize promotion, entries, eligibility to win, drawings, or prizes - the Official Giveaways Rules control.
For any matter concerning exhibitor booking, booth operation, or exhibitor commercial obligations - the Exhibitor Terms & Conditions control.
For any matter concerning attendee admission, credentials, or conduct - the Attendee Rules control.
For all other matters, and for any question not addressed in the documents above, these Terms control.
Marketing materials are not terms. Flyers, social media posts, emails, banners, warehouse screens, and other promotional materials are summaries only. Where they differ from the governing documents, the governing documents control, except where applicable law requires a prize to be awarded in the manner and at the time stated in advertising.

2. THE SHOW

Date and hours: Saturday, November 7, 2026, 10:00 AM to 6:00 PM Eastern Time.
Venue: NEPA 2, 3220 45th Street, West Palm Beach, Florida 33407 - an active wholesale distribution facility.
Nature: The Show is a trade-only, business-to-business buying event for retailers, wholesalers, distributors, convenience stores, gas stations, smoke shops, and vape shops.
Livestream: The Show is livestreamed to additional NEPA warehouse locations.
Admission: Admission is free of charge and by registration. Admission is not a contractual right and may be refused or revoked at NEPA’s discretion without compensation.

3. AGE RESTRICTION & ELIGIBILITY

The Show is a strictly 21+ event. No person under 21 is permitted on the premises at any time except strict parental guidance, including during setup, show hours, and breakdown.
Valid government-issued photo ID along with NEPA Member ID is required for entry and may be re-verified at any time.
NEPA may require proof of business status, including a business licence, resale certificate, commercial tobacco or vape retail licence where applicable, or an active NEPA Member account.

4. CONDUCT ON THE PREMISES

The following apply to every Participant, and are set out in full in the Attendee Rules and Exhibitor Terms:

No smoking, vaping, aerosol use, consumption, ignition, or combustion of any product anywhere on the premises, except for demonstration or testing.
No substance unlawful under federal law, no weapons, and no animals other than lawful service animals.
No harassment, discrimination, intimidation, or threatening conduct of any kind.
No counterfeit, gray-market, or intellectual-property-infringing goods.
No unauthorised solicitation, suitcasing, or distribution of product or materials outside a contracted booth.
All persons and belongings are subject to search as a condition of entry. NEPA may remove any person or item at its sole discretion, without compensation.
All Participants must comply with all applicable law, all venue rules, and all directives of NEPA staff, security, and venue personnel.

5. PRODUCT LEGALITY & BUYER RESPONSIBILITY

NEPA makes no representation or warranty as to the legality, regulatory status, registration, or compliance of any product displayed, sampled, offered, or sold at the Show in any state, county, or locality.
Buyers are solely responsible for verifying the legality of every product they source, purchase, transport, or resell in every jurisdiction in which they operate. This includes nicotine and vapour products, hemp-derived cannabinoids, kratom and kratom-derived products, and any other regulated or restricted goods.
Exhibitors warrant the compliance of their own products as set out in the Exhibitor Terms & Conditions.

6. ORDERS & TRANSACTIONS

All customer orders at the Show are placed and processed through NEPA only. Exhibitors may not take direct orders, accept payment, transact in cash, or sell product directly to attendees on the show floor.
Show deals and exhibitor offers are valid exclusively at the NEPA 2 location and are subject to the terms, quantities, and dates published by NEPA.

7. GIVEAWAY PROMOTION

The giveaway is operated solely by NEPA as Sponsor. It is governed by the Official Giveaway Rules, which are published separately and control on all promotion matters.
No purchase is necessary to enter. A free method of entry is available to registered attendees at the front desk, limit one per person.
Participants must be 21 or older to enter or win. Winners of prizes valued at $600 or more must complete an IRS Form W-9 before the prize is released.
Exhibitors, exhibitor staff, NEPA employees, and their immediate family and household members are not eligible to enter or win.
No Participant other than NEPA may run a raffle, drawing, contest, sweepstakes, or giveaway at the Show without NEPA’s prior written approval.
All prizes will be awarded under the business name entered, not the individual’s name. The participating business is solely responsible for all applicable taxes, fees, and related costs.

8. PHOTOGRAPHY, RECORDING, LIVESTREAM & PUBLICITY

The Show will be photographed, recorded, and livestreamed, and the resulting material may be used across NEPA’s marketing channels including email, social media, the NEPA website, warehouse screens, and printed marketing.
By entering the premises, each Participant consents to being photographed, filmed, recorded, and livestreamed, grants NEPA an unrestricted, royalty-free, perpetual right to use that material for any commercial or promotional purpose, and waives any right to inspect or approve it or to receive compensation.
Prize winners additionally consent to the use of their name, business name, likeness, and prize information in announcements and marketing, except where prohibited by law.
Commercial photography, videography, or recording of exhibitor booths, products, pricing, or other Participants is prohibited without the express consent of the parties involved.
Press and media must hold approved credentials. No interviews, filming, or reporting on the show floor without prior written approval from NEPA.

9. DATA & PRIVACY

Registration, badge, and entry data, including attendee contact information, is the property of NEPA and is not released to exhibitors.
Exhibitors may not scan, photograph, copy, or otherwise capture attendee badges or contact details, and may not add attendees to their own marketing lists on the basis of Show attendance.
NEPA processes personal information in accordance with its privacy policy. By registering, Participants consent to NEPA contacting them about the Show, its offers, and its products.
Tax identification information collected from prize winners is used solely for tax reporting and is retained in accordance with applicable law.

10. INTELLECTUAL PROPERTY

The NEPA name, the NEPA Wholesale logo, and the NEPA B2B Connect branding are the property of NEPA and may not be used without prior written approval.
Each Participant warrants that it owns or is licensed to use all trademarks, artwork, and other intellectual property it displays or distributes at the Show, and indemnifies NEPA against any claim to the contrary.

11. HEALTH, SAFETY & THE VENUE

NEPA 2 is an active wholesale distribution facility. Participants must remain in designated Show areas, obey posted signage and floor markings, and stay clear of equipment, racking, and material handling operations.
Warehouse operations areas, docks, offices, and any area marked as restricted are off limits.
In an emergency, Participants must follow staff instruction and posted evacuation routes.
Parking is in designated areas only and at the vehicle owner’s risk. NEPA is not responsible for lost, stolen, or damaged personal property.

12. ASSUMPTION OF RISK, RELEASE & INDEMNITY

Each Participant attends and participates at their own risk and expressly assumes all risk arising from or connected to any activity or circumstance at the Show, including theft, loss of or damage to property, injury to or death of any person, and loss of income or future income, whether caused by negligent, intentional, or accidental acts, acts of God, or otherwise.

Each Participant releases NEPA Wholesale, its parent, affiliates, and subsidiaries, together with their respective owners, officers, directors, employees, agents, contractors, sponsors, insurers, and assigns, and the owner and operator of the venue (collectively, the "Released Parties"), from all claims, demands, causes of action, suits, liens, losses, debts, and damages of any kind, including subrogation claims, arising from or relating to the Show.

Each Participant agrees to indemnify, defend, and hold harmless the Released Parties against any and all claims, demands, suits, causes of action, arbitration proceedings, liens, regulatory actions, fines, and penalties arising from that Participant’s products, marketing, staff, or conduct at the Show.

13. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the total aggregate liability of the Released Parties to any Participant arising from or relating to the Show is limited to the amount that Participant actually paid to NEPA in connection with the Show, and is zero where no such amount was paid. The Released Parties are not liable for lost profits, lost sales, lost opportunity, or any indirect, incidental, special, or consequential loss.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

14. CANCELLATION, POSTPONEMENT & FORCE MAJEURE

NEPA may cancel, postpone, reschedule, relocate, or modify the Show in whole or in part, for any reason, including force majeure events beyond its reasonable control. NEPA is not liable for travel, lodging, freight, production, staffing, or any other cost incurred by any Participant. Any refund in these circumstances is at NEPA’s sole discretion and subject to the Exhibitor Terms & Conditions.

15. VIOLATIONS

NEPA may remove any Participant who violates these Terms, any governing document, venue rules, or applicable law, and may exclude that Participant from future NEPA events. No refund of any fee, deposit, or charge will be issued in that event. Illegal conduct may be referred to law enforcement.

16. GENERAL

Amendments. NEPA may amend these Terms at any time and without prior notice. The current version published by NEPA governs. The Official Giveaway Rules may not be amended after the promotion has commenced except as permitted by applicable law.
Entire agreement. These Terms and the governing documents listed in section 1 constitute the entire agreement relating to the Show and supersede any prior discussion or representation.
Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
Waiver. A failure to enforce any provision is not a waiver of it.
Assignment. A Participant may not assign or transfer its rights or obligations without NEPA’s prior written consent.
Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
Notices. Notices to NEPA should be sent to support@nepawholesale.com.

17. GOVERNING LAW & VENUE

These Terms, and any dispute arising from or relating to the Show, are governed by the laws of the State of Florida without regard to conflict of laws principles. Any action or proceeding shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida.

NEPA 2 Wholesale, LLC 2026 Customer Sweepstakes RULES & TERMS

Official Rules

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE THE ODDS OF WINNING.

BUSINESS-TO-BUSINESS PROMOTION. THE ENTRANT AND WINNER OF EACH PRIZE IS THE ELIGIBLE BUSINESS, NOT ITS INDIVIDUAL REPRESENTATIVE.

VOID WHERE PROHIBITED OR RESTRICTED BY LAW.

These Official Rules govern the NEPA Wholesale 2026 Customer Sweepstakes (the “Sweepstakes”), a game promotion sponsored, operated, and administered by NEPA 2 Wholesale LLC, 3220 45th Street, West Palm Beach, Florida 33407 (“Sponsor”).

Participation constitutes the entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions concerning the Sweepstakes, subject to applicable law. Sponsor’s decisions are final and binding on all matters relating to the administration of the Sweepstakes, except where otherwise required by law.

1. Sponsor and Administrator

The Sponsor and administrator of the Sweepstakes is:

Sponsor is responsible for administering the Sweepstakes, determining eligibility, maintaining entry and drawing records, conducting the random drawings, verifying potential winners, and awarding the prizes in accordance with these Official Rules.

2. Promotion Period and Event

The Sweepstakes will be conducted in connection with Sponsor’s customer event on November 7, 2026 (the “Event”).

The Sweepstakes entry period begins at 10:00 a.m. Eastern Time on November 7, 2026, and ends at 6:00 p.m. Eastern Time on November 7, 2026 (the “Promotion Period”).

Random drawings will be conducted during the Event on November 7, 2026, and may continue until approximately 7:00 p.m. Eastern Time. All drawing times are approximate.

An entry must be properly completed and received at the Event before the cutoff established for the applicable drawing. Sponsor may establish and announce reasonable entry cutoffs for individual scheduled drawings. Sponsor will apply those cutoffs consistently and will not arbitrarily reject an otherwise eligible, timely received entry.

Sponsor’s designated clock, records, and timekeeping procedures will be the official timekeeping devices for the Sweepstakes.

3. Business-to-Business Promotion

The Sweepstakes is offered exclusively as a business-to-business promotion for qualifying NEPA Wholesale business customers attending the Event.

The entrant and potential or confirmed winner of a prize is the eligible business identified on the entry and corresponding NEPA Member Card. The individual who enters, accepts a prize, or completes winner-verification documents acts solely as an authorized representative of the business.

No individual acquires a personal right to a prize merely because the individual:

Owns, manages, or works for an eligible business;
Submits an entry on behalf of the business;
Is announced as the business’s representative;
Completes winner-verification documents; or
Accepts delivery of a prize for the business.

Any use or disposition of a prize after delivery to the winning business is a matter between the winning business and its owners, representatives, employees, or other interested persons, subject to applicable law and these Official Rules.

4. Eligibility Requirements

The Sweepstakes is open to eligible NEPA Wholesale business customers attending the Event from Florida and other states of the United States, where the offer and participation are lawful.

Eligible business categories include:

Smoke shops;
Gas stations;
Convenience stores;
Retail stores;
Wholesalers; and
Other substantially similar business customers that Sponsor determines satisfy its ordinary customer-registration requirements.

To enter, remain eligible, and receive a prize, the business must, throughout the Promotion Period and the applicable winner-verification period:

Have a valid, free NEPA Wholesale customer account;
Have a valid NEPA Member Card corresponding to that business;
Be represented by a business owner who is authorized to act for and bind the business;
Provide a valid government-issued driver’s license for the applicable owner or authorized representative;
Maintain a valid resale certificate;
Maintain a valid tobacco license, if such a license is required for the business or its operations;
Maintain all other licenses, permits, certificates, registrations, and legal authorizations required for its business; and
Comply with these Official Rules and applicable federal, state, and local law.

The person entering on behalf of the business must be a business owner authorized to act for the business and must be at least twenty-one years of age at the time of entry. The person who accepts a prize for the winning business must also be at least twenty-one years of age and authorized to accept the prize and execute all required documents on behalf of the business.

Sponsor may verify or reverify the business’s account, Member Card, licenses, representative’s age and identity, representative’s authority, and other eligibility requirements at any time before awarding a prize.

5. No Purchase or Payment Necessary

No purchase or payment is necessary to enter or win. A purchase will not increase the odds of winning.

Opening and maintaining a NEPA Wholesale account is free. No minimum order, purchase, payment, deposit, proof of purchase, or transaction is required to:

Open or maintain an account for Sweepstakes eligibility;
Enter the Sweepstakes;
Remain eligible for a drawing;
Be selected as a potential winner;
Complete winner verification; or
Claim a prize.

A business will not receive additional entries, greater weight in a drawing, improved odds, or any other Sweepstakes advantage based on the number or value of its purchases, orders, invoices, transactions, accounts, or business locations.

6. Exclusions

The following persons and entities are not eligible to enter or win:

Sponsor’s employees, owners, members, managers, officers, directors, agents, and representatives;
Persons or entities providing advertising, administration, marketing, drawing, technology, fulfillment, or other services for the Sweepstakes;
Exhibitors participating in the Event;
The owners, officers, directors, employees, and agents of Event exhibitors;
The immediate family members and household members of any person described above; and
Any other person or entity whose participation is prohibited or restricted by applicable law.

For purposes of these Official Rules, “immediate family” means a spouse, domestic partner, parent, stepparent, child, stepchild, sibling, stepsibling, grandparent, or grandchild, and the spouse or domestic partner of any such person. A “household member” is any person who shares the same residence for at least three months during a calendar year, whether related or not.

Sponsor may disqualify an entry if the business or its entering or accepting representative falls within an excluded category.

7. How to Enter

During the Promotion Period, an eligible business may enter in person at the Event by:

Presenting a valid NEPA Member Card corresponding to the business;
Providing the information and documentation reasonably requested by Sponsor;
Completing Sponsor’s prescribed in-person entry procedure before the applicable drawing cutoff; and
Agreeing to these Official Rules.

Sponsor may use paper entry forms, physical entry tickets, Event registration records, Member Card verification records, or a combination of those methods to create and validate the physical drawing entries.

An entry is deemed submitted by the business identified on the corresponding NEPA Member Card and entry record, not by the individual representative.

7.1 Entry Limit

Limit one entry per separate legal business entity for the entire Sweepstakes.

The entry limit applies regardless of the number of:

Owners, officers, employees, or representatives;
Business locations;
Trade names or fictitious names;
NEPA Wholesale accounts or account numbers;
NEPA Member Cards;
Purchases, orders, invoices, or transactions; or
Entry forms or attempted entries submitted.

Multiple locations, branches, divisions, trade names, or accounts belonging to the same legal entity do not constitute separate entrants. Sponsor may request organizational, ownership, tax, licensing, or other documentation to determine whether purportedly separate entrants are separate legal business entities.

7.2 Invalid Entries

Automated, duplicate, fraudulent, altered, forged, incomplete, inaccurate, illegible, improperly submitted, or untimely entries are void.

Sponsor may disqualify an entry based on:

A violation of these Official Rules;
Submission of false, misleading, or materially incomplete information;
Lack of authority by the entering representative;
Failure to satisfy or document eligibility;
Duplicate entry attempts;
Fraud, deception, or attempted manipulation;
Tampering with an entry, drawing container, or drawing process;
Interference with the fair administration of the Sweepstakes;
Threatening, abusive, disruptive, or unlawful conduct at the Event; or
Conduct reasonably determined to compromise the integrity, security, or lawful operation of the Sweepstakes.

Sponsor will apply its eligibility and disqualification standards consistently and will not arbitrarily remove, reject, disallow, or disqualify an otherwise eligible entry.

8. Agreement to Official Rules

By submitting an entry, the business and its representative:

Represent that the business and representative satisfy all eligibility requirements;
Agree to be bound by these Official Rules;
Agree to Sponsor’s decisions concerning eligibility, administration, and winner verification, subject to applicable law;
Authorize Sponsor to verify the entry and supporting information;
Accept the conditions governing the random drawings and prizes; and
Agree to execute the documents reasonably required to verify eligibility and award a prize.

9. Random Drawing and Winner Selection

Potential winners will be selected through physical random drawings from the pool of eligible entries available for each drawing.

Sponsor will administer the physical drawings in a manner reasonably designed to provide each entry included in a drawing with an equal opportunity to be selected. Sponsor may mix or otherwise randomize eligible entries before each selection and may maintain drawing logs, witness records, photographs, video recordings, or other administrative records documenting the drawing process.

9.1 Anticipated Drawing Sequence

The anticipated drawing sequence is:

iPhone prizes: Drawn at approximately hourly intervals during the Event;
$5,000 NEPA Wholesale promotional gift cards/certificates: Drawn at approximately bi-hourly intervals during the Event; and
Tesla Model Y grand prize: Drawn at or near the end of the Event.

The precise drawing times are approximate and may be adjusted by Sponsor for reasonable administrative, scheduling, attendance, verification, safety, or Event-management reasons. Sponsor may award more than one phone during a particular drawing when reasonably necessary to award all advertised phone prizes.

Administrative adjustments to drawing times will not change:

The total number of prizes offered;
The stated prize quantities;
The random nature of the drawing;
The eligibility requirements;
The one-entry limit; or
The one-prize limit.

All eligible entries received before the cutoff established for a drawing will be eligible for that drawing unless the entrant previously won a prize or is otherwise disqualified under these Official Rules.

10. Presence Requirement and Announcement

A potential winner’s authorized representative must be physically present at the Event when the potential winner is announced.

Potential winners will be announced in person at the Event. The representative must respond promptly when the business or representative is called and must report to the location designated by Sponsor for preliminary verification.

Sponsor may set and announce a reasonable same-day response deadline based on Event conditions. Failure to respond within the announced period may result in forfeiture and selection of an alternate potential winner.

An announcement or preliminary selection does not make the business a final winner. Each potential winner remains subject to verification and compliance with these Official Rules.

11. One-Prize Limit

Limit one prize per business and per entering or accepting person during the Event.

Once a business or its entering or accepting representative has been selected and announced as a potential winner, Sponsor will remove that business, its entry, and that entering or accepting person from subsequent drawings for the remaining iPhone prizes, promotional gift cards or certificates, and Tesla Model Y.

A business or person may not use a separate location, account, Member Card, representative, affiliate, trade name, or other means to evade the one-prize limitation.

If a potential winner is later found ineligible, declines the prize, fails to respond, fails to complete documentation, or is otherwise disqualified, Sponsor may award the forfeited prize through an alternate random drawing. The disqualified or forfeiting business and its applicable representative will not be restored to later drawing pools.

12. Odds of Winning

The odds of winning depend on:

The number of eligible entries received before the applicable drawing cutoff;
The number of eligible entries remaining after prior potential winners are removed; and
The number of prizes awarded in the applicable drawing.

Purchases, payment amounts, order frequency, or customer spending do not affect the odds of winning.

13. Prize Schedule and Prize List

The following prizes are offered:

The total announced approximate retail value of all prizes is $86,000.

Approximate retail values are stated in United States dollars. Actual values may vary because of market conditions, availability, location, taxes, fees, or other factors. A winner will not receive cash, credit, or any other payment for a difference between a prize’s stated approximate retail value and its actual value.

14. Tesla Model Y Grand Prize

One winning business will receive one Tesla Model Y, with an approximate retail value of $52,000.

The model year, trim, drivetrain, color, options, features, equipment, and configuration will be determined by Sponsor based on availability. The prize is the specified Tesla Model Y and does not include a promise of any particular trim, color, option, or configuration.

The winning business is solely responsible for all costs and obligations not expressly stated as included, including:

Federal, state, and local taxes;
Sales or use taxes;
Title and registration fees;
License plates and tags;
Insurance;
Transportation and delivery expenses;
Dealer or documentation charges;
Charging equipment and installation;
Travel required to accept or obtain the vehicle;
Maintenance and operating costs; and
Any other expense associated with acceptance, registration, possession, or use of the vehicle.

Before delivery, the winning business and its authorized representative must satisfy all applicable dealer, title, registration, licensing, identity, insurance, and governmental requirements. Vehicle delivery may occur through a verified representative of the winning business, but Sponsor is not required to transfer personal ownership of the prize to the representative.

15. iPhone 18 Pro Max Prizes

Ten winning businesses will each receive one iPhone 18 Pro Max 256GB phone, with an approximate retail value of $1,400 per phone and an aggregate approximate retail value of $14,000.

Unless Sponsor expressly states otherwise at the Event, cellular service, activation, accessories, service plans, data plans, device protection, extended warranties, and other incidental services or expenses are not included.

16. NEPA Wholesale Promotional Gift Cards or Certificates

Four winning businesses will each receive one $5,000 NEPA Wholesale promotional gift card or certificate, with an aggregate value of $20,000.

Each promotional gift card or certificate:

Is valid only from November 9, 2026, through December 31, 2026;
Is valid for one one-time, non-shareable, point-of-sale purchase;
Is redeemable exclusively for the following brands:

- HQD;
- FUME;
- SMOGGER;
- COOKIES;
- FIRE;
- REALWOODS; and
- FREAKIN BLACK;

Must be used in a single transaction;
Has no cash value;
Is not eligible for partial redemption;
Cannot be combined with another promotional gift card, certificate, or offer;
Cannot be transferred, assigned, sold, shared, or exchanged;
Cannot be redeemed or exchanged for cash, except if and only to the extent required by applicable law; and
Will result in forfeiture of any amount not used in the single qualifying transaction.

The winning business must remain eligible to transact with Sponsor and must comply with applicable laws, account requirements, licensing requirements, and ordinary lawful sales conditions when redeeming the promotional gift card or certificate.

17. General Prize Conditions

Prizes are nontransferable and nonassignable. Sponsor may deliver a prize to the winning business through its verified authorized representative, but that delivery does not change the identity of the winning business.

No prize substitution and no cash alternative will be offered. A winner may not elect cash, credit, account balance, another product, or a different prize in place of an advertised prize.

Sponsor does not retain a general right to substitute prizes. If awarding a prize exactly as described becomes unlawful or objectively impossible because of a legal prohibition, governmental order, discontinuation, destruction, or circumstances beyond Sponsor’s reasonable control, Sponsor will address the affected prize in a manner consistent with applicable law and any direction from the governmental authority having jurisdiction.

Except as expressly stated in these Official Rules, each winner is responsible for all:

Taxes;
Title and registration expenses;
Insurance;
Delivery and transportation expenses;
Activation charges;
Service or data plans;
Installation costs;
Licenses and permits;
Maintenance and operating costs; and
Other expenses associated with accepting, receiving, possessing, or using a prize.

Prizes are awarded “as is” and without any warranty by Sponsor, express or implied, including implied warranties of merchantability or fitness for a particular purpose, except where such a disclaimer is prohibited by law. Any manufacturer warranty that accompanies a prize is governed solely by its terms.

18. Alternate Potential Winners

If a selected business or representative:

Is not physically present when announced;
Does not respond within the time announced by Sponsor;
Is ineligible;
Cannot verify its eligibility;
Has submitted a duplicate or invalid entry;
Declines the prize;
Fails to provide required documents;
Fails to satisfy applicable title, insurance, tax, licensing, or delivery requirements;
Violates these Official Rules; or
Cannot lawfully accept the prize,

the prize may be forfeited.

Sponsor may immediately or subsequently conduct another physical random drawing from the remaining eligible entries to select an alternate potential winner. Any alternate must satisfy the same presence, eligibility, response, documentation, and verification requirements.

Sponsor may continue selecting alternates as reasonably necessary to award the prize, subject to the Event schedule, availability of eligible entries, applicable law, and any administrative requirements imposed by the Florida Department of Agriculture and Consumer Services or another governmental authority.

19. Winner Verification and Required Documents

Before a prize is awarded, each potential winner must provide and execute, as reasonably required by Sponsor:

An affidavit or declaration of eligibility;
A liability release;
A publicity release, where lawful;
Valid government-issued identification for the accepting representative;
Proof that the representative is at least twenty-one years old;
Proof of the representative’s ownership interest and authority to act for the business;
The business’s current NEPA Wholesale account and Member Card information;
A valid resale certificate;
A valid tobacco license, where required;
Any other required business license, registration, or authorization;
A properly completed IRS Form W-9;
Other tax documents reasonably required for reporting or withholding;
Vehicle-related insurance, title, registration, or dealer documentation, when applicable; and
Other records reasonably necessary to verify compliance with these Official Rules.

Sponsor may establish a reasonable same-day response deadline and a reasonable subsequent documentation deadline, which will be communicated to the potential winner. Failure to meet either deadline may result in forfeiture and alternate selection.

A potential winner is not a final winner unless and until Sponsor has verified eligibility and compliance and has approved all required documentation.

20. Prize Delivery

Subject to timely verification and receipt of all required documents, Sponsor intends to transfer or deliver each prize within seven business days after the winner announcement.

Delivery of the Tesla Model Y may also depend on:

Vehicle availability;
Dealer processing requirements;
Identity and business verification;
Completion of title and registration documents;
Proof of legally sufficient insurance;
Payment of taxes, fees, or withholding for which the winner is responsible; and
Compliance with applicable governmental requirements.

A delay attributable to a winner’s documentation, insurer, dealer, governmental agency, title processing, or another matter outside Sponsor’s reasonable control will not constitute a failure by Sponsor to award the prize, provided Sponsor continues to take reasonable steps to complete delivery.

21. Taxes and Tax Reporting

Each winning business is solely responsible for all federal, state, local, and other taxes, tax consequences, returns, filings, reporting obligations, payments, and professional fees arising from the receipt, possession, or use of a prize.

Sponsor may issue an applicable IRS Form 1099 or other information-reporting document to the winning business or to the taxpayer legally receiving the prize, based on the taxpayer information provided on Form W-9 and applicable law.

Sponsor may require the winner to:

Provide a valid taxpayer identification number;
Complete requested tax documentation;
Satisfy legally required withholding;
Reimburse or pay an amount that Sponsor is legally required to collect before delivery; or
Comply with other tax-reporting requirements before receiving a prize.

Sponsor does not provide legal, accounting, or tax advice. Each winner should consult its own independent tax and professional advisers regarding the consequences of accepting a prize.

22. Publicity Authorization

Except where prohibited by law, each winning business and its authorized representative grant Sponsor and Sponsor’s affiliates, successors, assigns, licensees, advertising agencies, and marketing providers a perpetual, worldwide, irrevocable, royalty-free, fully paid right and license to record, reproduce, publish, display, distribute, edit, adapt, translate, create derivative works from, and otherwise use:

The winning business’s legal name and trade name;
The winning business’s city and state;
The prize won;
The authorized representative’s name;
The representative’s image, likeness, voice, photograph, and video;
Statements, quotations, testimonials, interviews, and reactions concerning the Sweepstakes or prize; and
Biographical and business information provided in connection with the Sweepstakes.

These materials may be used for advertising, publicity, marketing, promotional, archival, and trade purposes in any media now known or later developed, including:

Facebook;
Instagram;
WhatsApp;
TikTok;
YouTube;
Websites;
Emails;
Digital advertising;
Social-media posts;
Press releases;
Printed materials;
Warehouse and store displays;
Event displays; and
Other marketing and advertising channels.

The permission is granted without further compensation, notice, inspection, review, or approval, except where prohibited by law.

23. Release and Assumption of Risk

To the maximum extent permitted by law, each entrant, potential winner, confirmed winner, and representative releases and agrees to hold harmless:

Sponsor;
Sponsor’s parents, subsidiaries, affiliates, successors, and assigns;
Event exhibitors and vendors;
Sweepstakes and Event service providers;
Advertising, marketing, administration, drawing, technology, and fulfillment providers;
Prize manufacturers, distributors, dealers, and suppliers; and
Each of their respective owners, members, shareholders, managers, officers, directors, employees, agents, and representatives,

collectively, the “Released Parties,” from claims, liabilities, losses, damages, injuries, costs, and expenses arising out of or relating to:

Participation in the Sweepstakes or Event;
Entry submission, processing, or verification;
Selection or nonselection as a potential winner;
Acceptance, delivery, possession, use, misuse, loss, or disposition of a prize;
Travel to, attendance at, or departure from the Event or a prize-delivery location;
Personal injury, death, or property damage associated with a prize;
Publicity authorized under these Official Rules; or
A violation of these Official Rules by the entrant or representative.

Each entrant and winner knowingly assumes the ordinary risks associated with Event attendance and the acceptance, transportation, possession, operation, use, or misuse of a prize.

Nothing in these Official Rules releases a party from liability that cannot lawfully be released or limited.

24. Administrative and Technical Matters

Sponsor is not responsible for entries or communications that are lost, late, damaged, destroyed, illegible, incomplete, misdirected, corrupted, improperly processed, or not received because of:

Human, printing, typographical, or administrative error;
Equipment or system failure;
Power, internet, network, or communications interruption;
Damage to or loss of an entry form or drawing ticket;
Unauthorized intervention;
Event interruption;
Force majeure; or
Circumstances beyond Sponsor’s reasonable control.

If Sponsor discovers an error affecting an individual entry, drawing, announcement, or prize record, Sponsor may correct the error in a reasonable and nondiscriminatory manner consistent with these Official Rules. A clerical or announcement error does not create an entitlement to a prize not otherwise won under the applicable random drawing.

25. Fraud, Tampering, and Interference

Any attempt to damage, disrupt, manipulate, falsify, or interfere with the Sweepstakes, entry process, physical entries, drawing container, drawing procedure, winner announcement, verification process, or prize delivery may result in disqualification and may violate civil or criminal law.

Sponsor reserves the right to seek damages and other remedies from any person or entity responsible for fraudulent, unlawful, or intentionally disruptive conduct.

Sponsor will not predetermine winners, rig or manipulate the drawing, determine winners based on a particular time or geographic area, arbitrarily reject eligible entries, or otherwise administer the Sweepstakes inconsistently with the random drawing procedure stated in these Official Rules.

26. Suspension, Cancellation, or Modification

Sponsor may suspend, cancel, terminate, or modify the Sweepstakes only if fraud, tampering, force majeure, a public emergency, governmental action, a material legal requirement, Event cancellation, natural disaster, equipment failure, loss or destruction of entries, or another event beyond Sponsor’s reasonable control materially impairs the integrity, security, fairness, legality, or proper operation of the Sweepstakes.

Any modification will be limited to what Sponsor reasonably determines is necessary to address the relevant circumstances and comply with applicable law. Sponsor will not use this provision to reduce the number or value of prizes merely for convenience or to avoid awarding prizes.

If feasible and lawful, Sponsor will award the affected prizes through random drawings from the eligible, non-suspect entries received before the suspension, cancellation, or impairment. Any action taken under this section remains subject to applicable Florida law and governmental requirements.

27. Privacy and Use of Entry Information

Sponsor may collect and use information submitted in connection with the Sweepstakes to:

Administer the Sweepstakes;
Verify eligibility;
Confirm customer-account and Member Card information;
Conduct drawings;
Contact and verify potential winners;
Award and deliver prizes;
Satisfy tax and regulatory obligations;
Prevent fraud;
Maintain legally required records; and
Exercise the publicity rights granted under these Official Rules.

Sponsor may disclose relevant information to its service providers, professional advisers, prize suppliers, dealers, insurers, tax preparers, governmental authorities, and other persons involved in Sweepstakes administration or legal compliance.

Information may also be used in accordance with Sponsor’s applicable privacy practices and any separate marketing permissions provided by the entrant. Entry is not conditioned on consent to receive marketing communications where such consent is separately required by law.

28. Florida Game-Promotion Compliance

The Sweepstakes is intended to be administered as a game promotion under section 849.094, Florida Statutes, and other applicable law. It is not intended to be administered as a charitable drawing by chance.

Consistent with Florida law:

No entry fee, payment, purchase, or proof of purchase is required;
No purchase will affect an entrant’s odds of winning;
Winners will be selected through physical random drawings;
Winners will not be predetermined;
Sponsor will not manipulate the Sweepstakes to determine winners during a particular time period or in a particular geographic area;
Sponsor will not arbitrarily remove, disqualify, disallow, or reject an otherwise eligible entry;
Sponsor will award the advertised prizes in accordance with these Official Rules and applicable law;
Sponsor will not knowingly publish or circulate false, deceptive, or misleading Sweepstakes materials; and
Sponsor will maintain records reasonably necessary to document entries, drawings, winner verification, and prize awards.

Florida law requires operators of covered game promotions offering prizes totaling more than $5,000 to make the required filing before commencement and to satisfy applicable security requirements unless an available statutory waiver applies. Acceptance of a filing by the Florida Department of Agriculture and Consumer Services does not constitute governmental endorsement or approval of a promotion. (fdacs.gov)

The material terms of these Official Rules must be made available at the Event and included or disclosed in advertising to the extent required by applicable law. Full Official Rules will be made conspicuously available at the Event. (fdacs.gov)

Nothing in these Official Rules states or implies that the Florida Department of Agriculture and Consumer Services or any other governmental authority has endorsed, approved, recommended, or guaranteed the Sweepstakes.

29. Compliance With Law

Each entrant and representative is responsible for complying with applicable federal, state, and local laws and regulations.

If participation by a particular business or the award, receipt, or use of a particular prize would violate applicable law, the business is ineligible for that prize. The Sweepstakes is void where prohibited or restricted.

Sponsor’s waiver of a requirement in a particular instance is not a waiver of that requirement in another instance, except to the extent otherwise required by law.

30. No Manufacturer or Platform Endorsement

The Sweepstakes is sponsored solely by NEPA 2 Wholesale LLC.

Tesla, Apple, iPhone, and the manufacturers, distributors, dealers, and suppliers of any prize are not sponsors or administrators of the Sweepstakes unless expressly identified as such in writing.

The Sweepstakes is not sponsored, endorsed, administered by, or associated with Facebook, Instagram, WhatsApp, TikTok, YouTube, or any other social-media platform. Entrants release each such platform from claims arising from the Sweepstakes to the extent permitted by law.

All trademarks, trade names, brand names, product names, and logos are the property of their respective owners and are used solely for prize identification.

31. Disputes and Governing Law

These Official Rules and all disputes arising out of or relating to the Sweepstakes, an entry, a drawing, winner selection, prize verification, prize delivery, or prize use will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Subject to applicable jurisdictional requirements, exclusive jurisdiction and venue for any dispute will lie in:

The state courts located in Palm Beach County, Florida; or
The federal court having jurisdiction over Palm Beach County, Florida.

Each entrant, representative, potential winner, and confirmed winner consents to personal jurisdiction and venue in those courts.

31.1 Individual Claims Only

To the maximum extent permitted by law, each claim must be brought solely in the claimant’s individual capacity. No claim may be brought or maintained as a class, collective, consolidated, coordinated, mass, private-attorney-general, or representative action.

31.2 Jury-Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH ENTRANT, REPRESENTATIVE, POTENTIAL WINNER, CONFIRMED WINNER, AND SPONSOR KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN AN ACTION ARISING OUT OF OR RELATING TO THE SWEEPSTAKES.

31.3 Limitation of Remedies

To the maximum extent permitted by law:

Any recovery is limited to the claimant’s actual, documented, out-of-pocket expenses directly associated with entering the Sweepstakes;
No claimant may recover punitive, exemplary, incidental, indirect, consequential, special, or multiplied damages;
No claimant may recover lost profits, lost revenue, loss of goodwill, loss of business opportunity, or similar commercial damages;
No claimant may obtain rescission, injunctive relief affecting the administration or completion of the Sweepstakes, or an award of another entrant’s prize; and
Each party will bear its own attorneys’ fees and costs, except where an award is expressly required by applicable law.

Nothing in this section limits a remedy or right that cannot lawfully be waived or restricted.

32. Interpretation

These Official Rules will be interpreted reasonably and as a whole to promote lawful, fair, and consistent Sweepstakes administration.

If an ambiguity exists, Sponsor may adopt a reasonable interpretation consistent with:

The no-purchase requirement;
Random winner selection;
The one-entry and one-prize limitations;
The business-to-business nature of the Sweepstakes;
The announced prize quantities and values; and
Applicable law.

No interpretation may be used to arbitrarily disqualify an eligible entry or to avoid awarding an advertised prize.

33. Severability

If a court or other authority determines that any provision of these Official Rules is invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or, if necessary, severed.

The remaining provisions will continue in full force, provided that severance does not materially defeat the lawful purpose of the Sweepstakes.

34. No Waiver

Sponsor’s failure or delay in enforcing any provision of these Official Rules does not waive that provision or Sponsor’s right to enforce it later.

A waiver is effective only if made in writing by Sponsor and applies only to the particular circumstance for which it is given, subject to applicable law.

35. Headings

Section headings are included solely for convenience and do not limit, expand, or otherwise affect the meaning of these Official Rules.

36. Official Rules and Winners List

37. Records

Sponsor may maintain records concerning:

Entries and Member Card verification;
Eligibility documentation;
Drawing dates, times, procedures, and results;
Potential-winner announcements and responses;
Alternate drawings;
Winner-verification documents;
Tax documentation;
Prize delivery and acceptance;
Advertising and promotional materials; and
Requests for the Official Rules or winners list.

Records will be maintained for the period required by applicable law and may be provided to governmental authorities when legally required.

38. Entire Rules

These Official Rules constitute the governing rules and prize list for the Sweepstakes. If a summary, advertisement, announcement, Event sign, social-media post, exhibitor communication, entry instruction, or other promotional material conflicts with these Official Rules, these Official Rules control, subject to applicable law.

Sponsor may issue reasonable administrative instructions that are consistent with these Official Rules. No oral representation may materially change the eligibility requirements, entry method, drawing procedure, prize quantities, prize values, presence requirement, or other material terms stated herein.

ATTENDEE RULES & CONDITIONS OF ENTRY

By registering for, entering, or attending NEPA B2B Connect (the "Show"), you agree to the rules below. These rules apply to all attendees, buyers, guests, and any person on the premises during the Show. NEPA Wholesale ("NEPA") may amend these rules at any time without prior notice.

1. ADMISSION & ELIGIBILITY

The Show is a strictly 21+ trade event. However, infants and children are permitted under strict adult supervision.
Valid NEPA Member Card for the business is required for entry and may be re-verified at any point during the Show. Attendees can complete registration at the venue and enter the trade event. Valid Business Document and Valid Driving License is required for registration.
The Show is open to business attendees only, retailers, wholesalers, distributors, c-store, gas station, smoke shop, and vape shop operators, and their authorized staff. NEPA may require proof of business status, such as a business license, resale certificate, or active NEPA account.
Admission is free of charge but requires NEPA Member Card.
NEPA reserves the right to refuse entry to, or remove, any person or any item at its sole discretion.
All persons and their belongings are subject to search as a condition of entry.

2. NEPA Member Card

Each account can have only one member card. Do not share, transfer, change, or copy your card. Doing so will result in permanent cancellation of your membership with no refund or reinstatement.
Attendees may access only the designated show floor and public areas. Warehouse operations areas, docks, offices, and any area marked as restricted are strictly off limits.

3. PROHIBITED CONDUCT & ITEMS

The following are prohibited anywhere on the premises:

Smoking, vaping, or aerosol/vapor use of any kind, for any reason, excluding product testing.
Consumption, ignition, or combustion of any product, excluding any product displayed or sampled at the Show.
Any substance unlawful under federal law.
Weapons of any kind, consistent with venue and property policy.
Animals, except lawful service animals as defined by applicable law.
Harassment, discrimination, intimidation, or threatening conduct of any kind toward attendees, exhibitors, NEPA staff, or venue staff.
Any illegal act, which will result in immediate removal and may result in law enforcement involvement.
Unauthorized solicitation, "backpack" or suitcase selling, distribution of flyers or product, and any sale or promotion by a person who is not a registered exhibitor.
Counterfeit, gray-market, or intellectual-property-infringing goods.

4. PRODUCT SAMPLING

Sampling is permitted only at authorized exhibitor booths, only where lawful, and only in the manner approved by NEPA.
No product may be consumed, used, opened for use, or combusted on the premises. Samples are for take-away evaluation only.
Nicotine, tobacco, hemp-derived, kratom, and similar age-restricted samples may be distributed only to badged attendees who have satisfied age verification.
Attendees may not solicit samples in bulk or for resale.

5. ORDERING, PURCHASING & PRODUCT LEGALITY

All orders are placed and processed through NEPA only. Direct sales, cash transactions, or order-taking between attendees and exhibitors on the show floor are not permitted.
Show deals and exhibitor offers are valid exclusively at the NEPA 2 location and are subject to the terms, quantities, and dates published by NEPA.
Attendees are solely responsible for verifying the legality of every product they source, purchase, transport, or resell in every jurisdiction in which they operate. This includes but is not limited to nicotine and vapor products, hemp-derived cannabinoids, kratom and kratom-derived products, and any other regulated or restricted goods.
NEPA makes no representation or warranty as to the legality, regulatory status, registration, or compliance of any product displayed, sampled, or sold at the Show in any state, county, or locality. Compliance with all federal, state, and local law rests entirely with the buyer.

6. PHOTOGRAPHY, RECORDING & LIVESTREAM

The Show will be photographed, recorded, and livestreamed to additional NEPA warehouse locations and may be used across NEPA’s marketing channels.
By entering, you consent to being photographed, filmed, recorded, and livestreamed, and you grant NEPA an unrestricted right to use that footage for any commercial or promotional purpose. You waive any right to inspect or approve the material and any right to royalties or other compensation.
Commercial photography, videography, or recording of exhibitor booths, products, pricing, or other attendees is prohibited without the express consent of the parties involved.
Press and media must hold approved credentials. No interviews, filming, or reporting on the show floor without prior written approval from NEPA.

7. GIVEAWAYS & PRIZES

Prize drawings, including the Tesla Model Y, iPhones, and NEPA gift cards giveaways, are open to registered attendees only. You must be physically present at the time of the drawing to win.
Winners must be 21 or older and must present valid government-issued photo ID matching their registration.
All prizes will be awarded under the business name entered, not the individual’s name.
Prizes are awarded as-is, are non-transferable, and carry no cash alternative. All taxes, title, registration, insurance, delivery, and any other cost associated with a prize are the sole responsibility of the winner.
Gift card giveaways are limited to the core brands and value stated in the official giveaway rules.
Exhibitors, attendees, and third parties may not run independent raffles, drawings, contests, or giveaways at the Show without NEPA’s prior written approval.
Full official giveaway rules, eligibility restrictions, and odds are published separately and control in the event of any conflict with summary materials.

8. ATTENDEE INFORMATION & PRIVACY

Registration and badge scan data, including attendee contact information, remains the property of NEPA and is not released to exhibitors.
By registering, you consent to NEPA contacting you about the Show, its offers, and its products, consistent with NEPA’s privacy policy.

9. VENUE, SAFETY & COMPLIANCE

NEPA 2 is an active wholesale distribution facility. Attendees must remain in designated Show areas, obey all posted signage and floor markings, and stay clear of equipment, racking, and material handling operations. NEPA 2 is not responsible for any injury sustained while in the event.
Attendees must comply with all directives of NEPA staff, security, and venue personnel always.
Parking is available in designated areas only. Vehicles are parked at the owner’s risk.
In an emergency, follow staff instruction and posted evacuation routes.
NEPA is not responsible for lost, stolen, or damaged personal property.

EXHIBITOR TERMS & CONDITIONS

These Exhibitor Terms & Conditions (the "Terms") govern participation as an exhibitor at NEPA B2B Connect (the "Show"), organised by NEPA Wholesale ("NEPA"). By submitting a booth booking, making payment, or exhibiting at the Show, the exhibiting company ("Exhibitor") accepts these Terms in full.

These Terms sit beneath the NEPA B2B Connect Event Terms & Conditions and alongside the Attendee Rules and the Trade Show Giveaway: Official Rules (the "Official Giveaway Rules"). Where a conflict arises, these Terms control on exhibitor matters and the Official Giveaway Rules control on all prize promotion matters.

1. KEY DEADLINES

Failure to meet any deadline above may result in forfeiture of the booth, of promotional inclusion, or of the relevant benefit, without refund.

2. BOOKING, PAYMENT & CANCELLATION

Booth booking and payment in full are due by September 30, 2026. A booking is confirmed only once full payment is received.
All booth purchases are final and non-refundable, in whole or in part, regardless of the reason for cancellation, non-attendance, or late arrival.
Booths are booked online from the live floor plan. Booth numbers are assigned on a first-come, first-served basis and availability updates in real time.
An Exhibitor that fails to occupy its booth by the start of show hours is deemed a no-show. NEPA may reassign or repurpose the space without refund.
Booth space may not be sublet, shared, transferred, assigned, or used to promote any company or brand other than the contracted Exhibitor without NEPA’s prior written approval.

3. BOOTH SPACE & ASSIGNMENT

Each booth is a 7 ft x 7 ft space. All tiers receive identical exhibitor benefits; tier pricing reflects location and placement only.
Exhibitors may reserve multiple adjacent booths to create a larger footprint. Combined pricing is the sum of the individual booth prices, subject to availability.
NEPA reserves the right to modify the floor plan and to relocate or reassign booth space where reasonably necessary for the operation, safety, or layout of the Show.
Each booth includes: one table, two chairs, two exhibitor passes, Wi-Fi access, food and beverages, parking, product sampling rights, NEPA marketing exposure, and on-site support.
Anything not listed above - including additional furniture, signage, power beyond standard supply, audio-visual equipment, lighting, and labour - is the Exhibitor’s responsibility and expense.

4. EXHIBITOR PASSES

Two exhibitor passes are issued per booth. No additional passes will be issued.
All booth staff must be 21 or older and must present valid government-issued photo ID.
Passes are non-transferable. Sharing, transferring, or duplicating a pass will result in revocation without replacement or refund.
Badges must be worn and visible at all times on the premises.
An exhibitor pass is not an attendee registration and does not confer eligibility to enter or win in the NEPA giveaway. See section 15.

5. SETUP, SHOW HOURS & BREAKDOWN

Setup begins at 7:00 AM on November 7, 2026. Booths must be fully set and staffed before doors open at 10:00 AM.
Booths must remain staffed and open for the full duration of show hours, 10:00 AM to 6:00 PM. Early teardown or unattended booths during show hours are not permitted.
Booths must remain fully staffed and presentable through the Grand Prize drawing, which takes place at approximately 6:00. No packing, dismantling, or removal of product or display may begin before 6:00 PM.
Breakdown runs from 6:00 PM to 8:00 PM. Exhibitors must remove all product, displays, signage, packaging, and waste and leave the space in its original condition.
Any property left on the premises after 8:00 PM may be removed and disposed of at the Exhibitor’s cost, and NEPA accepts no liability for it.
Any damage to the venue, its fixtures, flooring, or equipment caused by the Exhibitor or its staff is the Exhibitor’s responsibility.

6. SHIPPING, DELIVERY & STORAGE OF EXHIBITION MATERIALS

No advance shipping. NEPA will not receive, store, or sign for Exhibitor freight, product, or materials before the Show.
Exhibitors are responsible for transporting, loading in, handling, and removing their own materials.
No storage space is provided. Product and materials must be kept within the booth footprint.

7. BOOTH CONDUCT & PRESENTATION

All displays, product, signage, staff, and activity must remain within the assigned booth footprint. Aisles, entrances, exits, neighbouring booths, and fire equipment must not be obstructed.
Displays must not block sightlines to adjacent booths or exceed any height limit set by NEPA.
Sound, music, and amplification must be kept at a level that does not interfere with neighbouring exhibitors. NEPA may require volume to be reduced at its discretion.
No soliciting, canvassing, or distribution of materials outside the assigned booth, and no "suitcasing" or selling by unregistered parties.
Booth staff must conduct themselves professionally. Harassment, discrimination, intimidation, or threatening conduct of any kind will result in immediate removal without refund.

8. PRODUCT SAMPLING & DEMONSTRATION

No smoking, vaping, aerosol use, consumption, ignition, or combustion of any product is permitted anywhere on the premises.
Samples may be distributed from the Exhibitor’s booth only, for take-away evaluation only, and only to badged attendees who have satisfied age verification.
Sampling of nicotine, tobacco, hemp-derived, kratom, or other age-restricted products must comply with all applicable federal, state, and local law.
NEPA may suspend or prohibit any sampling activity at its sole discretion.

9. PRODUCT COMPLIANCE & LEGALITY

The Exhibitor represents and warrants, on a continuing basis, that:

Every product displayed, sampled, offered, or sold at the Show complies with all applicable federal, state, and local laws and regulations, including as applicable the Federal Food, Drug, and Cosmetic Act, FDA premarket authorisation requirements, the PACT Act, the tobacco directory or registry requirements of any state in which the product is offered, and applicable hemp and cannabinoid law.
All product labelling, ingredient disclosure, warnings, certificates of analysis, and age-restriction statements required by law are accurate and in place.
The Exhibitor holds all licences, permits, and registrations required to offer its products.
NEPA does not review, verify, endorse, or warrant the regulatory status of any Exhibitor product and accepts no responsibility for an Exhibitor’s compliance. NEPA may remove any product or Exhibitor from the Show where it believes, in its sole discretion, that a legal or regulatory risk exists, without refund.

10. INTELLECTUAL PROPERTY

The Exhibitor warrants that it owns or is licensed to use all trademarks, trade dress, artwork, and other intellectual property it displays or distributes at the Show.
Counterfeit, replica, gray-market, or infringing goods are strictly prohibited and will result in immediate removal without refund.
The Exhibitor indemnifies NEPA against any claim arising from an allegation that its products or materials infringe a third party’s rights.

11. ORDERS & TRANSACTIONS

All customer orders at the Show are placed and processed through NEPA only. Exhibitors may not take direct orders, accept payment, transact in cash, or sell product directly to attendees on the show floor.
Pricing, order terms, and fulfilment are governed by the Exhibitor’s existing supply arrangement with NEPA.

12. EXCLUSIVE SHOW DEALS

Every Exhibitor is required to provide a special customer offer for the Show, submitted to NEPA by October 5, 2026.
Show deals are valid exclusively at the NEPA 2 location.
Customers redeem the offer through NEPA at checkout. NEPA tracks all redemptions across the event and applicable sales channels.
Within seven (7) days after the Show, NEPA will issue the Exhibitor a redemption report showing the total value of deals redeemed. The Exhibitor will then reimburse NEPA for that total redeemed amount.
Reimbursement is due within 7 days of the redemption report. NEPA may offset any unpaid amount against sums otherwise owed to the Exhibitor.
Show deals and the NEPA giveaway are separate programmes.
An Exhibitor that fails to submit a qualifying offer by the deadline may be excluded from show-deal promotion and marketing without refund.

13. TV SCREEN AD PACKAGE (ONLY IF APPLICABLE)

Price: $500. Includes up to four assets in MP4, MOV, JPG, or PNG format, with a maximum of one minute per video.
Assets are due October 20, 2026. Late, missing, or non-conforming assets will not be run and the fee is non-refundable.
NEPA reserves the right to reject or require changes to any creative that is non-compliant, off-brand, misleading, or unsuitable for a retail environment.
Creative must not reference, depict, or imply the NEPA giveaway, its prizes, or any entry mechanic without NEPA’s prior written approval, as promotion advertising is regulated and must match the filed Official Giveaway Rules.
The Exhibitor warrants it holds all rights to the submitted creative, including any music, footage, imagery, and likenesses, and grants NEPA a licence to display it in connection with the Show.
NEPA does not guarantee a specific number of plays, screen placements, or impressions.

14. MARKETING, LIVESTREAM & PUBLICITY

The Show will be photographed, recorded, and livestreamed to additional NEPA warehouse locations and may be used across NEPA’s marketing channels.
The Exhibitor consents to its booth, staff, products, and displays appearing in that coverage and waives any right to approve, inspect, or receive compensation for its use.
The Exhibitor grants NEPA a non-exclusive, royalty-free licence to use its name, logo, and product imagery to promote the Show across email, social media, the NEPA website, warehouse screens, the sales team, and printed marketing.
The Exhibitor may not use NEPA’s name, logo, or the Show branding in its own marketing without prior written approval.

15. NEPA GIVEAWAY

NEPA operates a customer giveaway in connection with the Show, including a Tesla Model Y grand prize, bi-hourly gift cards, and hourly iPhone prizes. The giveaway is governed by the Official Giveaway Rules, which control on all promotion matters.

Sponsorship and funding

NEPA is the sole Sponsor and operator of the giveaway. It is administered, funded, and awarded solely by NEPA unless separately agreed in writing.
The Exhibitor bears no cost for prizes and has no obligation to fund, contribute to, or reimburse any prize, except under a separate written agreement signed by both parties.

Exhibitor eligibility

Exhibitors, their owners, officers, employees, booth staff, and contractors, and the immediate family and household members of each, are not eligible to enter or win any prize in the giveaway.
An Exhibitor must not enter, attempt to enter, or arrange for a related party to enter on its behalf, and must not structure a customer invoice for the purpose of generating entries.

Exhibitor conduct in relation to the giveaway

Exhibitors may not run independent raffles, drawings, contests, sweepstakes, or giveaways at the Show without NEPA’s prior written approval.
Exhibitors may not offer, promise, imply, or advertise entries, additional entries, improved odds, or any other promotion benefit to any attendee.
Exhibitors may not interpret, explain, restate, or vary the Official Giveaway Rules for attendees. All giveaway questions must be directed to NEPA staff.
Exhibitors may not state or imply that they sponsor, endorse, administer, or are associated with the giveaway.
Breach of this section 15 is a material breach and may result in removal from the Show without refund, exclusion from future NEPA events, and liability for any resulting regulatory penalty or claim.

16. ATTENDEE DATA

Attendee registration, badge, and giveaway entry data - including attendee contact information - is the property of NEPA and is not released to Exhibitors.
Exhibitors may not scan, photograph, copy, or otherwise capture attendee badges or contact details, and may not add attendees to their own marketing lists on the basis of Show attendance.
The free method of entry to the giveaway is administered by NEPA at the front desk only. Exhibitors may not collect, accept, hold, or submit entries of any kind.

17. INSURANCE

Each Exhibitor must carry commercial general liability insurance of not less than $[AMOUNT] per occurrence covering the setup, show, and breakdown periods, together with any product liability and workers’ compensation coverage required by law.
NEPA Wholesale and the venue owner must be named as additional insureds. A certificate of insurance must be provided to NEPA by OCT 20, 2026.
The Exhibitor is responsible for insuring its own property. NEPA provides no coverage for Exhibitor product, displays, or equipment.

18. LIABILITY, RELEASE & INDEMNITY

The Exhibitor exhibits at its own risk and assumes all risk of loss, theft, damage, injury, or death arising from or connected to its participation in the Show, whether caused by negligent, intentional, or accidental acts, acts of God, or otherwise.

The Exhibitor releases NEPA Wholesale, its parent, affiliates, and subsidiaries, together with their respective owners, officers, directors, employees, agents, contractors, sponsors, insurers, and assigns, and the owner and operator of the venue (collectively, the "Released Parties"), from all claims, demands, causes of action, suits, liens, losses, debts, and damages of any kind arising from or relating to its participation.

The Exhibitor agrees to indemnify, defend, and hold harmless the Released Parties against any and all claims, demands, suits, causes of action, arbitration proceedings, liens, regulatory actions, fines, and penalties arising from its products, its marketing, its staff, or its conduct at the Show, including any breach of section 15.

To the maximum extent permitted by law, NEPA’s total liability to the Exhibitor for any claim arising from the Show is limited to the booth fees actually paid by the Exhibitor, and NEPA is not liable for lost profits, lost sales, or any indirect, incidental, or consequential loss.

19. VENUE, SAFETY & COMPLIANCE

NEPA 2 is an active wholesale distribution facility. Exhibitors must remain in designated Show areas, obey posted signage and floor markings, and stay clear of equipment, racking, and material handling operations.
Exhibitors and their staff must comply at all times with all applicable law, all venue rules, and all directives of NEPA staff, security, and venue personnel.
The Show is a 21+ event. No person under 21 is permitted on the premises at any time except with strict parental guidance, including during setup and breakdown.
No weapons, no unlawful federally controlled substances, and no animals other than lawful service animals.

20. VIOLATIONS & REMOVAL

An Exhibitor that violates these Terms, the Event Terms & Conditions, the Official Giveaway Rules, the Exhibitor Kit, venue rules, or applicable law may be removed from the Show and may be excluded from future NEPA events. No refund of booth fees, deposits, advertising fees, or any other charge will be issued in that event.

21. CANCELLATION, POSTPONEMENT & FORCE MAJEURE

NEPA may cancel, postpone, reschedule, relocate, or modify the Show in whole or in part, for any reason, including force majeure events beyond its reasonable control. NEPA is not liable for travel, lodging, freight, production, staffing, or any other cost incurred by the Exhibitor. Any refund of booth fees in these circumstances is at NEPA’s sole discretion.

22. GENERAL

Amendments. NEPA may amend these Terms at any time. The current version published by NEPA governs.
Entire agreement. These Terms, together with the Event Terms & Conditions, the Exhibitor Kit, and the booking confirmation, constitute the entire agreement between the parties and supersede any prior discussion or representation.
Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
Assignment. The Exhibitor may not assign or transfer this agreement without NEPA’s prior written consent.
Relationship. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between NEPA and the Exhibitor.
Governing law. These Terms, and any dispute arising from or relating to the Show, are governed by the laws of the State of Florida without regard to conflict of laws principles. Any action shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida.

23. ACCEPTANCE OF TERMS OF CONDITIONS

These Exhibitor Terms & Conditions apply to the Exhibitor’s purchase or booking of exhibition space. By completing the purchase or booking, the Exhibitor confirms its acceptance of and agreement to be bound by these Terms & Conditions, including the prize promotion obligations and eligibility exclusions set out in Section 15.
